ESG Due Diligence: environmental, social and governance risk assessed to a lender's standard.
ESG due diligence assesses a company or asset against environmental, social and governance standards a financier or investor has adopted, and sets out what it would take to meet them.
What it is
Where environmental due diligence stops at pollution and permits, ESG due diligence continues into labour and working conditions, occupational health and safety, community impact, land acquisition and resettlement, indigenous peoples, cultural heritage, biodiversity, supply chain conduct and governance. The reference standard is usually not Indian law alone: development finance institutions and Equator Principles signatories assess against the IFC Performance Standards and the World Bank Group EHS Guidelines, which in several areas require more than domestic compliance.
KIPL conducts ESDD against the specific standard the client is bound by, identifies each material gap, and converts the gaps into an Environmental and Social Action Plan. The instrument the financier will actually attach to the facility. The distinction between a gap that is a covenant risk and one that is a genuine impediment to funding is the judgement the exercise turns on, and we make it explicitly rather than presenting an undifferentiated list.

Straight answers
ESG Due Diligence: common questions.
01What is ESG due diligence?
It is an assessment of a company or project against environmental, social and governance criteria, most often the standard a lender or investor has adopted rather than domestic law alone. It produces a gap analysis and an action plan that typically becomes a condition of the investment or the loan.
02How does it differ from environmental due diligence?
Scope. EDD is confined to environmental matters: permits, pollution, waste, contamination. ESDD adds the social limb (labour and working conditions, occupational safety, community health, land and resettlement, indigenous peoples, cultural heritage) and the governance limb (board oversight, ethics, disclosure). A lender asking for ESDD will not be satisfied by an environmental report.
03What are the IFC Performance Standards?
Eight standards used internationally as the benchmark for environmental and social risk management in private-sector finance: covering risk management systems, labour and working conditions, resource efficiency and pollution prevention, community health and safety, land acquisition and involuntary resettlement, biodiversity and living natural resources, indigenous peoples, and cultural heritage. Equator Principles financial institutions apply them to project finance in most markets.
04What is an ESAP?
An Environmental and Social Action Plan is the schedule of corrective actions agreed between the borrower and the financier to close the gaps identified in diligence: each with a defined action, responsible party and deadline. It is usually annexed to the facility agreement, which makes non-delivery a contractual matter rather than an aspiration.
05Who mandates ESG due diligence?
Development finance institutions, Equator Principles signatory banks, impact and private equity funds with limited-partner ESG commitments, and increasingly strategic acquirers with their own group standards. It is contractual rather than statutory in India: but where it applies, it is a condition precedent, not a preference.
06Does European supply chain regulation affect Indian companies?
Indirectly but materially. The EU Corporate Sustainability Due Diligence Directive, adopted in 2024, places human rights and environmental due diligence duties on large companies in respect of their chains of activities, with phased application; its scope and timing have been subject to subsequent revision, so the current position should be confirmed. The practical effect on Indian suppliers arrives through customer contracts and questionnaires well before any direct legal duty does.
07How long does ESDD take?
Typically several weeks, longer where site visits, worker interviews or community consultation are in scope, the social limb cannot be completed from a data room. Where resettlement or indigenous peoples issues arise, the assessment is substantially longer, because the standards require evidence of process, not just of outcome.
