Environmental Audits and Due Diligence for Chemical Sites

An environmental audit of a chemical site is a liability assessment: contamination and hazardous-waste history attach to the land and the operation, so they pass to whoever buys or funds it.

What this means for chemical industry

In most sectors due diligence is a paperwork exercise. On a chemical site it is not, because decades of solvent handling, tank farms, effluent drains and hazardous-waste storage leave a physical record in the soil and groundwater that no document review will find. The exposure that matters to a buyer or a lender is rarely the current consent status; it is the unrecorded spill under a decommissioned tank, the hazardous waste stored on site with no matching manifest trail, the effluent drain that leaked before it was lined, and the gap between the products on the consent schedule and the products actually made. Under the polluter-pays principle applied by the NGT and the courts, remediation liability follows the site, and a transaction does not extinguish it.

How KIPL runs it

KIPL runs the audit in two layers. The first is a records and compliance review: consent validity against actual capacity and product mix, hazardous-waste authorisation quantities against manifests and annual returns, EC conditions against the half-yearly compliance record, MSIHC obligations, and the notice and direction history with the Board. The second is intrusive where it needs to be: soil and groundwater sampling targeted at tank farms, drains, waste storage areas and former process blocks, rather than spread evenly across the plot. What goes wrong when this is skipped is well documented in the sector: a buyer inherits a remediation cost that exceeds the deal margin, or a lender funds an expansion at a site whose existing consent capacity cannot support it.

  • EP Act 1986

    Liability follows the site

Contamination and non-compliance attach to the operation and the land, so an acquisition or a slump sale transfers the exposure unless it has been quantified and priced.

  • HOWM 2016

The manifest trail is the evidence

Hazardous-waste quantities generated, stored and despatched must reconcile across the authorisation, the records and the annual return: divergence is the single most common finding on a chemical site.

  • Lender diligence

    Funding is conditioned on it

Banks and development finance institutions lending to chemical capacity require environmental and social diligence covering contamination, consent standing and hazardous-waste practice before disbursement.

What you receive

Written for chemical industry, not adapted from a template.

  • 01Consent and authorisation reconciliation: consented capacity and product schedule against what is actually manufactured
  • 02Hazardous-waste position: authorisation quantities against records, manifests and annual returns, with gaps quantified
  • 03Contamination assessment with targeted soil and groundwater sampling at tank farms, drains, waste storage and former process areas
  • 04EC condition compliance review against the half-yearly reporting record, and the Board's notice and direction history
  • 05MSIHC and emergency-preparedness review where the site holds hazardous chemicals above threshold quantities
  • 06Findings register with the exposures ranked, and a remediation and regularisation plan the transaction can be priced against

Questions from chemical industry

What chemical industry ask before appointing us.

Answered against the regulation as it stands, not as a sales pitch. If your situation is not here, ask us directly.

Ask a question →
What does a chemical site audit find that a document review will not?

Historical contamination. Solvent and effluent losses from tank farms, unlined drains and former process blocks do not appear in any file, but they determine remediation cost and they transfer with the site. Targeted soil and groundwater sampling is the only way to establish whether that exposure exists and how large it is.

Why do hazardous-waste records dominate the findings?

Because they are the one dataset that must reconcile in three places (the authorisation, the site's own records and the annual return) and on many sites they do not. A quantity generated but not despatched, or despatched without a manifest, is both a live regulatory exposure and an indicator of how the plant is actually run.

Is this needed for an asset purchase as well as a share purchase?

The structure changes who carries the exposure but not whether it exists. A share purchase takes the company with its history; an asset purchase takes the land and the plant, and remediation liability attaches to the site itself. Both need the contamination position established before the price is fixed.

Can an audit be done without disrupting production?

Records review, consent reconciliation and the compliance walkthrough are non-intrusive. Sampling requires borehole and soil access at specific points, which is planned around the plant's shutdown or low-activity periods. The scope is targeted rather than blanket, which keeps the intrusive work short.

What do we do with the findings?

They are set out as a ranked register: what must be regularised before the transaction closes, what can be corrected within a defined period, and what is a remediation cost to be priced in. For a lender the same register becomes the environmental conditions attached to the facility.

Does KIPL audit sites it has not previously worked on?

Yes: most due diligence is on unfamiliar sites, and independence is the point. Where we have prepared the clearance or the consent for a site, that is disclosed to the party commissioning the audit before the work begins.
