Environmental & Social Due Diligence for Funds and Lenders
For a fund or a lender, environmental and social due diligence is a condition precedent to disbursement rather than a technical study, and it is priced and paced against the deal timeline.

What this means for environmental & social due diligence
The question a deal team is asking is narrow: what environmental and social liability comes with this asset, what does it cost to fix, and is any of it a reason not to proceed. That is a different question from whether the asset is compliant. A site can be fully consented and still carry a contaminated land liability that transfers on acquisition; it can be non-compliant on paperwork in ways that are cheap and quick to regularise. Diligence earns its fee by separating the two and by identifying the small number of findings that are genuinely deal-relevant, the red flags: from the long tail that becomes a post-completion action plan.
How KIPL runs it
KIPL delivers this to the standard the transaction requires, whether the lender's own credit policy, the IFC Performance Standards, or the Equator Principles categorisation used in project finance, and reports it the way a deal team reads: findings ranked by materiality, each with an indicative cost and a route to resolution, and a clear statement of what could not be verified in the time or access available. KIPL prepared ESDD reports for developments under the SBI Cap SWAMIH last-mile fund, covering working approach, project description, site inspection and diligence findings against the fund's scope. The most common friction in this work is site access: diligence scoped on the assumption of a full site visit and then conducted from a data room produces a report with limitations that the investment committee must be told about explicitly rather than left to infer.
- IFC PS
Diligence against a named standard
Development finance institutions and many lenders require environmental and social diligence against defined standards such as the IFC Performance Standards as a funding condition.
- EP
Equator Principles categorisation
In project finance, the Equator Principles framework drives categorisation of transactions by environmental and social risk and the level of assessment each requires.
Liability transfers with the asset
Contamination, unremediated conditions and historic non-compliance follow the asset rather than the seller, so exposure has to be priced before commitment, not after.

Questions from environmental & social due diligence
What environmental & social due diligence ask before appointing us.
Answered against the regulation as it stands, not as a sales pitch. If your situation is not here, ask us directly.
Ask a question →What is the difference between EDD and ESDD?
Environmental due diligence covers contamination, permits, emissions, waste and environmental liability. Environmental and social due diligence adds the social dimension (labour and working conditions, land acquisition and resettlement, community health and safety, and stakeholder issues) which is what standards such as the IFC Performance Standards require and what most development finance institutions expect.
How quickly can diligence be delivered?
It is scoped to the transaction. The determinants are the number and type of assets, whether site access is granted, and how complete the data room is. What we fix at the outset is the scope and the limitations, so that a compressed timeline produces a report that states clearly what was and was not verified rather than one that appears complete and is not.
What counts as a red flag that kills a deal?
Findings that cannot be priced or resolved within the transaction: significant contamination with an uncertain remediation cost, construction undertaken without a required clearance, an asset that cannot lawfully operate in its current configuration, or a live enforcement or Tribunal proceeding with an unknown outcome. Most other findings are conditions or price adjustments rather than deal breakers.
Can diligence be done from a data room alone?
It can, and sometimes it must, but the report has to say so. A desktop review cannot detect contamination, cannot verify what is actually installed against what is permitted, and cannot assess site conditions. Where access is refused, that refusal is itself information the investment committee should have.
Does the fund or the target commission the report?
Ordinarily the fund or lender, because the report is prepared for its reliance and its risk framework. Where a vendor-side report exists, it can be reviewed and relied on subject to scope and reliance arrangements, but it is prepared to answer the seller's question rather than the buyer's.
What happens to the findings after completion?
They typically become an environmental and social action plan annexed to the transaction documents, with owners, timelines and reporting obligations, monitored during the holding period. Diligence that ends at signing leaves the fund holding the findings without a mechanism to close them.
