Environmental & Social Action Plans for Funded Assets
Diligence findings are only useful once they become a corrective environmental and social action plan written into the facility or investment agreement and monitored against it.

What this means for environmental & social due diligence
A diligence report identifies exposure; it does not remove it. The instrument that does is the action plan: a schedule of corrective measures with owners, deadlines and evidence requirements, annexed to the agreement and given contractual force through conditions precedent, conditions subsequent and covenants. The drafting decisions here are commercial rather than technical: which findings must be closed before disbursement, which can run post-completion against a covenant, what evidence closes each item, and what happens if it is not delivered. A plan whose items are aspirational, undated or unverifiable gives the lender nothing to enforce.
How KIPL runs it
KIPL writes action plans that a borrower can actually complete and a lender can actually monitor, which means each item is a specific act (file this application, appoint an authorised handler, install this metering, complete this survey), rather than an objective. We then verify closure, because the failure pattern in lending is well established: the plan is annexed to the agreement, the first monitoring cycle is missed, nobody chases it, and the fund discovers at exit that nothing was closed. Where the transaction is governed by standards such as the IFC Performance Standards, the plan is also the document that evidences to the fund's own investors that identified risk was managed rather than merely noted.
Findings need contractual force
Corrective measures acquire effect only when written into the agreement as conditions precedent, conditions subsequent or covenants with defined evidence.

Standards expect a management plan
Where a transaction is assessed against standards such as the IFC Performance Standards, an action plan addressing identified gaps is the expected instrument for closing them.
Unmonitored plans close nothing
Action plans annexed at signing and never verified leave the exposure in place and surface again, undiminished, at exit or refinancing.
What you receive
Written for environmental & social due diligence, not adapted from a template.

- 06Independent verification of closure at each cycle, with a status report for the lender or fund
Questions from environmental & social due diligence
What environmental & social due diligence ask before appointing us.
Answered against the regulation as it stands, not as a sales pitch. If your situation is not here, ask us directly.
Ask a question →What makes an action plan enforceable?
Being incorporated into the transaction documents with specified evidence and dates, and being allocated correctly between conditions precedent, conditions subsequent and covenants. A plan appended as an annexure without any of that is a recommendation, and borrowers treat it accordingly.
Which findings should be conditions precedent?
Those that must be resolved before capital is at risk: anything preventing the asset from lawfully operating, anything with an unquantified liability, and anything the fund's own investors would expect to be closed before disbursement. Documentary and improvement items generally sit as conditions subsequent with dates.
Who monitors the plan after signing?
Someone with a defined obligation to do so, whether the lender's own team or an independent consultant appointed for the purpose. The default failure is that monitoring belongs to nobody in particular after the deal team moves on, and the plan lapses without anyone deciding that it should.
What if the borrower cannot deliver an item?
It should surface at the monitoring cycle, with a documented reason and a revised approach, not at exit. Plans that were never realistic, items priced beyond the asset's capacity or dependent on a third party's timeline: are better renegotiated openly than allowed to sit open, since an unenforced covenant weakens the whole plan.
Does the plan cover social issues as well?
Where the transaction is assessed against a standard that includes them, yes: labour and working conditions, community health and safety, grievance mechanisms and, where relevant, land and resettlement issues appear alongside the environmental items in a single plan.
Can the plan be used at exit?
It is one of the most useful documents at exit. A plan with verified closure evidence demonstrates to a buyer that identified issues were managed, which is a materially stronger position than a diligence report with findings and no record of what happened next.
